NeowShop – General Terms & Conditions
Effective from 23 August 2025
1. Scope and Acceptance
1.1 These Terms apply to the use of the NeowShop platform at www.neowshop.dk and govern the relationship between NeowShop ApS (CVR: DK40587535), subscribers (users), and stores.
1.2 By creating an account or using the platform, you accept these Terms.
1.3 Stores are also subject to separate Terms & Conditions for Stores, available on the platform.
2. User Accounts
2.1 To subscribe to store memberships, you must create an account using a valid email and password.
2.2 You are responsible for keeping your account details secure and up to date.
2.3 NeowShop is not liable for unauthorized use if you have failed to protect your credentials.
3. Subscriptions and Payments
3.1 NeowShop facilitates subscriptions between users and stores.
3.2 All payments are processed securely through third-party providers.
3.3 Subscriptions automatically renew unless cancelled by the user.
3.4 NeowShop deducts a platform fee from store payouts – see Store Terms for details.
4. Limitation of Liability
4.1 NeowShop acts as a platform and is not responsible for the content or quality of services provided by stores.
4.2 Complaints about subscriptions must be directed to the relevant store.
4.3 NeowShop's total liability is limited to the platform fees you have paid in the past 12 months.
4.4 NeowShop is not responsible for downtime, technical errors, or events beyond our control.
5. Changes to Terms
5.1 NeowShop may update these Terms. You will be notified via email or directly on the platform.
5.2 Significant changes will be announced at least 30 days in advance. You may cancel your account if you do not accept the changes.
6. Termination
6.1 You may close your account at any time via the platform.
6.2 Subscription cancellation follows the terms defined by each individual store.
6.3 NeowShop may suspend or close accounts in cases of abuse or violation of these Terms.
7. Governing Law and Disputes
7.1 These Terms are governed by Danish law.
7.2 Any disputes shall be resolved at the Court of Glostrup, Denmark.
NeowShop – Terms & Conditions for Stores
1. Registration and Verification
1.1 Stores must complete the online registration form.
1.2 Required documents: business registration, bank account details, and proof of ownership.
1.3 NeowShop verifies documents in line with Danish law and AML/KYC regulations.
1.4 Registration may be denied or suspended if the information is false, incomplete, or illegal.
2. Payment and Payouts
2.1 Stores must maintain a valid Stripe account to receive payouts.
2.2 Subscription payments are processed by NeowShop and transferred within approx. three (3) business days after confirmation.
2.3 A 10% platform fee applies to all subscription transactions.
2.4 Stores must keep bank and Stripe details up to date to avoid delays.
3. Store Responsibilities
3.1 Provide accurate descriptions of products, services, and benefits.
3.2 Fulfill all promised services and comply with Danish laws.
3.3 Handle cancellations, returns, and complaints according to regulations.
3.4 Keep store information updated and protect customer data per GDPR.
4. NeowShop's Rights
4.1 NeowShop may suspend or terminate accounts due to fraud, abuse, or non-compliance.
4.2 Terms may be updated with prior notice.
4.3 NeowShop may use store names, logos, or images for marketing unless opted out in writing.
4.4 NeowShop is a platform provider only, not a party to store-subscriber contracts.
5. Marketing and Platform Use
5.1 Stores may use NeowShop tools for promotions but must ensure legal and accurate content.
5.2 Attempts to bypass the platform or avoid platform fees may result in immediate suspension.

7. Limitation of Liability
7.1 NeowShop is not liable for delays or errors caused by third-party payment providers.
7.2 NeowShop is not responsible for disputes between stores and customers.
7.3 Liability is limited to the total platform fees collected from the store in the past 12 months.
8. AML and Compliance
8.1 NeowShop complies with Danish AML laws and requires valid business documentation.
8.2 Stores must cooperate with any compliance checks.
8.3 Suspicious activity will be reported to the authorities.
9. Governing Law and Disputes
9.1 These Terms are governed by Danish law.
9.2 Disputes must be settled by the Court of Glostrup, Denmark.
10. Termination
10.1 Stores may terminate their agreement at any time. Termination takes effect at the end of the current month plus one additional month.
10.2 Outstanding fees (e.g., registration or unpaid platform fees) will be deducted or invoiced.
10.3 NeowShop may terminate with the same notice if cooperation is no longer viable.
10.4 Immediate termination without notice may occur in cases of:
- Legal violations
- Severe breach of terms
- Fraud, misuse, or harmful behavior
